Acceptance of These Terms

These Terms of Use govern your access to and use of the Verboo applications, SDKs, services and websites (together, the "Service") provided by Verboo ("we", "us", or "our"). By installing, accessing or using any part of the Service you accept these Terms in full. If you do not accept them, do not use the Service.

The Service is not intended for children under the age of 13, and they may not use it. If you use the Service on behalf of an organisation, you accept these Terms on its behalf as well.

How we handle personal data is described in our Privacy Policy, which forms part of these Terms.

The Service

Verboo is under active development and is offered free of charge through closed beta testing. Its features, limits and availability may change, be suspended or be discontinued at any time, with or without notice.

Messages, calls and files may be delayed, interrupted, delivered out of order, not delivered at all, lost or removed. Content is kept only as long as the Service needs it to deliver it, and you are responsible for keeping your own copy of anything you wish to preserve.

Not for Emergencies

The Service is not a replacement for a telephone service and does not provide access to emergency services. It cannot be relied on to reach 911, 112 or any other emergency number, or anyone else, in an emergency. Make other arrangements for emergency communication.

Your Account

You must provide an email address that you control. You are responsible for keeping your password and your recovery phrase secret, for the devices signed in to your account, and for all activity under your account. We may suspend or close an account at any time, including where we believe these Terms have been breached.

Your Content and Conduct

You keep ownership of the messages, files and other content you send through the Service. You grant us a worldwide, royalty-free licence to transmit, store and deliver that content solely as needed to operate the Service. You are solely responsible for your content and for your use of the Service.

You must not use the Service to:

Third Parties

The Service relies on parties we do not control, including app stores, device manufacturers and operating systems, network operators, our transactional email provider and other users. We are not responsible for their services, content or conduct, and your dealings with them are solely between you and them.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT ANY MESSAGE, CALL OR FILE WILL BE DELIVERED OR PRESERVED, OR THAT DEFECTS WILL BE CORRECTED.

At this stage of development communications are not end-to-end encrypted between users. We make no promise that they are protected from interception, loss or unauthorised access.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERBOO AND ITS OPERATORS, CONTRIBUTORS, AFFILIATES AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE OR OPPORTUNITY, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, INABILITY TO USE, OR DECISION NOT TO USE THE SERVICE.

This applies to any matter related to the Service, including its unavailability, delay or interruption; the failure, delay or loss of any message, call or file; the corruption or loss of data; unauthorised access to or alteration of your communications or content; the content or conduct of other users or third parties; and any reliance on information obtained through the Service. It applies whatever the legal theory, whether contract, tort (including negligence), strict liability or otherwise, and even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim. As the Service is provided free of charge, that amount is zero.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law. Where the law does not allow an exclusion or limitation in full, it applies to the greatest extent the law allows.

Indemnification

You agree to indemnify and hold harmless Verboo and its operators, contributors, affiliates and suppliers from any claim, demand, loss, liability, damage or expense, including reasonable legal fees, arising out of or related to your content, your use of the Service, or your breach of these Terms or of any law or third-party right.

Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or end your access to all or part of the Service at any time, for any reason, without notice and without liability. The sections on content licences, disclaimers, limitation of liability, indemnification and general terms survive any termination.

Changes to These Terms

We may change these Terms from time to time. Changes take effect when they are published here with a new "Last Updated" date. Your continued use of the Service after that date constitutes acceptance of the changed Terms.

General

These Terms and any dispute or claim arising out of or in connection with them or the Service, including non-contractual disputes or claims, are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction over any such dispute or claim. If you use the Service as a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live, or of the right to bring proceedings in its courts where that law gives you one.

If any provision of these Terms is held invalid or unenforceable, it shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service and supersede any prior understanding. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our consent; we may assign them without restriction.
